Welcome to VLPlay. These Terms of Service ("Terms") constitute a legally binding agreement between you and KNC Holdings Company Limited (trading as VLPlay, hereinafter "we," "us," or "our"). By accessing, downloading, installing, or using any of our games, applications, websites, or services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services. To access certain features of our Services, you must create an account. You agree to: (a) Provide accurate, current, and complete information during registration. (b) Maintain and promptly update your account information. (c) Keep your password secure and confidential. (d) Accept responsibility for all activities under your account. (e) Notify us immediately of any unauthorized use of your account. You must be at least 16 years old to create an account. Users aged 16-18 must have parental or guardian consent. We reserve the right to suspend or terminate accounts that violate these Terms. You may not transfer, sell, or share your account with any other person.

When using our Services, you agree NOT to: (a) Use cheats, exploits, automation software, bots, hacks, mods, or unauthorized third-party software. (b) Disrupt or interfere with the Services, servers, or networks. (c) Harass, threaten, or abuse other users. (d) Use offensive, vulgar, or discriminatory language or content. (e) Impersonate any person or entity. (f) Buy, sell, or trade accounts, virtual items, or in-game currency outside of our authorized systems. (g) Engage in any form of real-money trading (RMT) of virtual items. (h) Upload or transmit viruses, malware, or harmful code. (i) Collect personal information of other users without consent. (j) Violate any applicable laws or regulations, including Vietnamese law. (k) Reverse engineer, decompile, or disassemble any part of our Services. Violation of these rules may result in warnings, temporary suspension, permanent ban, or legal action.

Our Services may allow you to purchase virtual items, in-game currency, or other digital content ("Virtual Items"). (a) Virtual Items are licensed, not sold. You receive a limited, non-transferable, revocable license to use Virtual Items within our Services. (b) Virtual Items have no real-world monetary value and cannot be exchanged for real currency. (c) All purchases are final. Refunds are provided only as required by Vietnamese consumer protection law. (d) We reserve the right to modify, manage, regulate, or eliminate Virtual Items at any time. (e) If your account is terminated for violation of these Terms, you forfeit all Virtual Items. (f) Prices for Virtual Items may change at any time without prior notice. (g) You are responsible for all charges incurred through your account, including unauthorized purchases made by minors using your device. Payment processing is handled by authorized third-party payment providers. We do not store your full payment credentials.

All content, materials, and elements of our Services are protected by intellectual property laws: (a) Our Services, including all games, software, graphics, designs, text, audio, video, and other content, are owned by us or our licensors. (b) The VLPlay name, logo, and related trademarks are our exclusive property. (c) You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent. (d) Any feedback, suggestions, or ideas you submit to us become our property and may be used without compensation or attribution. (e) Third-party trademarks and content within our Services are the property of their respective owners.

The following terms apply specifically to our game services: (a) Updates and Patches: We may update, patch, or modify our games at any time without prior notice. You agree to accept such updates as a condition of continued use. (b) Scheduled Maintenance: We perform regular maintenance that may temporarily interrupt services. We will provide advance notice when possible. (c) Service Interruption: We do not guarantee uninterrupted access to our Services. Interruptions may occur due to maintenance, updates, technical issues, or force majeure events. (d) Beta and Early Access: Beta or early access content is provided "as is" and may contain bugs or incomplete features. (e) Game Balance: We reserve the right to adjust game balance, including modifying character abilities, item statistics, and game mechanics. (f) Server Closure: We may discontinue a game or close servers with reasonable advance notice (at least 30 days).

TO THE MAXIMUM EXTENT PERMITTED BY VIETNAMESE LAW: (a) Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. (b) We do not warrant that our Services will be uninterrupted, error-free, or free of viruses. (c) Our total liability for any claim arising from your use of the Services shall not exceed the amount you paid to us in the 12 months preceding the claim. (d) We are not liable for any indirect, incidental, special, consequential, or punitive damages. (e) We are not liable for losses resulting from unauthorized access to your account due to your failure to maintain account security. Nothing in these Terms excludes or limits liability that cannot be excluded under Vietnamese law.

You agree to indemnify, defend, and hold harmless KNC Holdings Company Limited, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) Your use of or access to our Services. (b) Your violation of these Terms. (c) Your violation of any third-party rights. (d) Your violation of any applicable law or regulation. (e) Any content you submit or transmit through our Services.

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any legal proceedings arising from these Terms or your use of the Services shall be subject to the jurisdiction of the competent courts of Ho Chi Minh City, Vietnam.

In the event of any dispute arising from these Terms or your use of the Services: (a) Informal Resolution: You agree to first attempt to resolve the dispute informally by contacting us at bd@vlplay.vn. We will attempt to resolve the matter within 30 business days. (b) Mediation: If informal resolution fails, either party may request mediation through a mutually agreed mediator in Ho Chi Minh City. (c) Litigation: If mediation is unsuccessful, disputes shall be submitted to the competent courts of Ho Chi Minh City, Vietnam, in accordance with Vietnamese procedural law.

We may suspend or terminate your access to our Services at any time, with or without cause, including for: (a) Violation of these Terms or any applicable policies. (b) Suspected fraudulent, abusive, or illegal activity. (c) Extended periods of inactivity. (d) Upon your request to delete your account. Upon termination: • Your license to use our Services is immediately revoked. • You lose access to all Virtual Items and account data. • Provisions that by their nature should survive termination will remain in effect. You may terminate your account at any time by contacting our customer support.

We reserve the right to modify these Terms at any time. We will notify you of material changes through: • In-game notifications • Email to your registered address • Notices on our website Your continued use of our Services after notification of changes constitutes acceptance of the revised Terms. If you disagree with any changes, you must stop using our Services and may request account deletion.
