End User License Agreement

KNC Holdings Company Limited (trading as VLPlay) grants you a limited, non-exclusive, non-transferable, revocable license to: (a) Download, install, and use our games and applications ("Software") on compatible devices that you own or control. (b) Access and use the Software solely for your personal, non-commercial entertainment purposes. This license is conditional upon your compliance with this End User License Agreement ("EULA"). This license does not constitute a sale of the Software or any copy thereof. You may NOT: (a) Copy, reproduce, or distribute the Software. (b) Modify, adapt, translate, reverse engineer, decompile, or disassemble the Software. (c) Create derivative works based on the Software. (d) Rent, lease, lend, sell, sublicense, or transfer the Software to any third party. (e) Remove, alter, or obscure any proprietary notices, labels, or marks on the Software. (f) Use the Software for any commercial purpose or revenue-generating activity. (g) Use the Software in any manner that could damage, disable, or impair our servers or networks. (h) Use automated tools, bots, or scripts to interact with the Software. (i) Circumvent or disable any technological protection measures in the Software. (j) Use the Software in violation of any applicable laws, including Vietnamese law.

The Software and all copies thereof are the intellectual property of and are owned by KNC Holdings Company Limited or its licensors. (a) All title, ownership rights, and intellectual property rights in the Software remain with us. (b) The Software is protected by Vietnamese and international copyright laws, trademark laws, and other intellectual property laws. (c) This EULA does not grant you any rights to our trademarks, service marks, or trade names. (d) All rights not expressly granted in this EULA are reserved by us.

If our Software allows you to create, upload, or share content ("User Content"): (a) You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, distribute, and display your User Content in connection with our Services. (b) You represent that you have the right to grant this license and that your User Content does not infringe any third-party rights. (c) You are solely responsible for your User Content. (d) We may remove or modify any User Content at our sole discretion without notice. (e) User Content must not contain illegal, offensive, defamatory, or infringing material.

We may provide updates, patches, or modifications to the Software from time to time: (a) Updates may be required for continued use of the Software. (b) Updates may be downloaded and installed automatically without prior notice. (c) We may modify, suspend, or discontinue any feature of the Software at any time. (d) We are not obligated to provide updates, support, or maintenance for the Software. (e) This EULA applies to all updates unless a separate license agreement accompanies the update.

The Software may contain links to or integrate with third-party services: (a) Third-party services are governed by their own terms and privacy policies. (b) We are not responsible for the content, functionality, or practices of third-party services. (c) Your use of third-party services is at your own risk. (d) Third-party services include but are not limited to: payment processors, social media platforms, advertising networks, and analytics providers.

TO THE MAXIMUM EXTENT PERMITTED BY VIETNAMESE LAW: (a) THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. (b) WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. (c) WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. (d) WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM USE OF THE SOFTWARE WILL BE ACCURATE OR RELIABLE. Some jurisdictions do not allow the exclusion of implied warranties, so certain exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY VIETNAMESE LAW: (a) IN NO EVENT SHALL KNC HOLDINGS COMPANY LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE. (b) OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM. (c) WE ARE NOT LIABLE FOR ANY LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES. (d) WE ARE NOT LIABLE FOR DAMAGES ARISING FROM CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL. Nothing in this EULA excludes or limits liability that cannot be excluded under Vietnamese law, including liability for death or personal injury caused by negligence.

This EULA is effective until terminated: (a) You may terminate this EULA at any time by uninstalling the Software and deleting all copies. (b) We may terminate this EULA immediately if you breach any of its terms. (c) Upon termination, your license to use the Software is immediately revoked. (d) You must uninstall and destroy all copies of the Software upon termination. (e) Sections relating to ownership, disclaimers, limitation of liability, and governing law survive termination.

This EULA is governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to conflict of law principles. Any disputes arising from this EULA shall be submitted to the competent courts of Ho Chi Minh City, Vietnam.

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and KNC Holdings Company Limited regarding your use of the Software. If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision of this EULA shall not be deemed a waiver of that provision.
